Copilot for Board Meetings: What Directors Can Use It For, and When to Turn It Off

Bottom line: Copilot for board meetings works in three moments: reading the board pack before the meeting, using Teams controls during it, and drafting action items and minutes afterwards. Copilot drafts and the company secretary owns the record. Teams lets you limit what Copilot keeps, from a temporary mode to Off to end-to-end encryption.

The chair's office reads the pack, the company secretary drafts the minutes, and directors ask management the right questions. Claude and Gemini get asked about too, but this page is about Copilot.

I've worked with Gen AI and trained teams on it since early 2022, and so far I've run 264 AI sessions in 112 organisations (updated October 2026).

This page is not legal advice. Minutes, confidentiality and director duties differ by country and company, so check with your company secretary or counsel.

Copilot for board meetings: the short answer

Can directors use it? Yes, if your company's rules allow it. Microsoft 365 Copilot (now called Microsoft Copilot, so just Copilot from here) only works on content the signed-in person can already open in their company's Microsoft 365 account (Microsoft Learn, updated September 2026).

If directors read papers in a board portal, ask your company secretary which AI tools are allowed there. Microsoft's own board-meeting example is written for school boards and has no prompts (Microsoft adoption library, read October 2026).

So think of AI for board meetings as 3 moments, each with its own controls. Chairs' offices can pair this with Copilot for executive assistants, and there's a separate page on whether Copilot is safe for confidential information.

02.

Before the meeting: reading the board pack

Free Copilot Chat can work on a paper you provide (Microsoft Learn, October 2026). Upload it, ask, then check the answer against the paper. That's the whole Copilot board pack routine.

Copilot Notebooks go further, because they answer only from the references you add (Microsoft Support, September 2026). One caution: sharing a notebook invites recipients to the linked files and gives them editing access (Microsoft Support, June 2026). So share the output, not the notebook (that last bit is my inference, not Microsoft's advice).

Two starter prompts (drafts, so adjust them). Use them only if your company allows board papers in the tool you're using:

  • Summarize this board paper in ten lines: the decision requested, the options, the financial impact, the risks, and what the paper doesn't say.
  • List the five questions a director should ask about this paper. For each one, say whether the paper answers it and where.
03.

During the meeting: what Teams lets you switch off

Copilot in a Teams meeting needs a paid license, and each person's prompts and answers are visible only to them (Microsoft Learn, August 2026). Copilot meeting recording security comes down to two questions: who can see the recording and transcript, and how long do they stay? See using Copilot without recording and recording and transcribing a Teams meeting.

From light to strong: four settings

These are the Teams settings that matter most for Copilot in sensitive meetings, as Microsoft documents them, ordered by how much trace each one leaves:

01Only during the meeting

Copilot runs on speech-to-text that isn't saved. Your company's retention policies may still keep the prompts and answers, and eDiscovery can find them (Microsoft Learn, August 2026). Licensed external guests can't use this mode.

02Off

No Copilot, and no recording or transcription. Under Microsoft's default admin policy a saved transcript is enforced and organizers can't change it, so ask IT which policy applies (Microsoft Learn, August 2026).

03Who can record and who can see

A sensitivity label or meeting template can limit who records and transcribes, and Copilot isn't available to anyone excluded from the recording or transcript (Microsoft Support, September 2025). Recordings sit in the organizer's OneDrive and are deleted after 120 days by default, which isn't a compliance control (Microsoft Learn, updated August 2026).

04End-to-end encrypted meeting

Does Copilot work in end-to-end encrypted Teams meetings? No. There's no Copilot, recording or transcription. The organizer needs Teams Premium, up to 200 people can join, and web and VDI devices are blocked (Microsoft Learn, August 2026).

Which of your board sessions belong in which group, and who decides? Decide by meeting type with your chair, company secretary and counsel. I'm not making that call for you.

04.

After the meeting: minutes and action items

Copilot for board meetings stays a drafting tool here. It can draft action items and a summary, and the company secretary owns the board minutes. Microsoft has no feature called minutes. It has AI summary, Notes and follow-up tasks, and Facilitator can write a Word document from the meeting (Microsoft Support, August to September 2026). More on Copilot meeting recaps and the Facilitator agent in Teams.

Review the draft before it becomes the record, because mistakes in AI output can be hard to detect (Microsoft Learn, August 2026). Facilitator's shared notes are visible to every internal attendee, don't inherit the meeting's sensitivity label and aren't automatically collected into eDiscovery (Microsoft Learn, August 2026). A Confidential Recipients Only label blocks sharing the AI recap (Microsoft Support, September 2026).

Whether AI-drafted minutes count as the legal record is a question for your counsel.

One starter prompt (draft, needs a paid license and a transcript):

  • From this meeting transcript, list the action items in a table with owner, action and deadline. Mark any action where the owner or the deadline wasn't stated.

Eight questions directors can ask management about Copilot and AI

Directors don't need to write prompts. They need to know what to ask. For Copilot for directors, these 8 questions come from the controls above:

  1. Who in management owns Copilot, and who can stop it?
  2. Which data can Copilot reach today, and when was Copilot oversharing last checked?
  3. Who holds the paid licenses, and are the leaders who approved Copilot (and the AI champions) using it themselves?
  4. Who can build and publish agents, and who approves them?
  5. Which meetings have Copilot, recording or transcription switched off, and who decides?
  6. What is kept, for how long, and who can search it?
  7. What does management report on use, and what do the numbers count?
  8. If something goes wrong, who is told and who can switch it off?

Gartner's June 2026 survey, quoted by Opsin (a secondary source), found 51% name oversharing and data loss as the top barrier to Copilot deployment, and 80% say more governance is needed before wide agent deployment. On question 7, "active" users means people who did at least one Copilot action in the previous 28 days (Microsoft Learn, September 2026).

Question 3 has a longer answer on who gets a Copilot license first. The rest sit under the decisions leadership owns about Copilot. Leaders who want to try it first: Copilot training for executives.

Who is behind this

By Eyal Marcus, AI consultant and trainer, focused on AI transformation and using AI at work. I train people on Copilot, so I want boards to ask the right questions, not to ban it or wave it through (my bias, and yes, this page sells training). I teach leadership teams. I don't advise boards on law or configure tenants. Copilot changes constantly, and so do my lectures and workshops.

Common questions

Can directors use Microsoft Copilot for board materials?

Yes, if your company's rules allow it. Copilot only works on content the signed-in person can already open in their company's Microsoft 365 account (Microsoft Learn, updated September 2026), and free Copilot Chat can work on a board paper you provide.

What can Copilot do for a board meeting?

Before the meeting, Copilot can summarize a paper and list the questions a director should ask. During it, licensed participants in Teams can ask private questions. Afterwards, it can draft action items from a transcript.

Can Copilot take the minutes of a board meeting?

Copilot can draft action items and a summary, but the company secretary owns the minutes. Microsoft has no feature called minutes. It has AI summary, Notes and follow-up tasks, and Facilitator can write a Word document (Microsoft Support, August to September 2026).

How do you turn Copilot off for a sensitive Teams meeting?

The organizer can set Copilot to Off in the meeting options, which also turns off recording and transcription. Under Microsoft's default admin policy a saved transcript is enforced and organizers can't change it, so ask IT which policy applies (Microsoft Learn, August 2026). End-to-end encrypted meetings have no Copilot at all, and the organizer needs Teams Premium (Microsoft Learn, August 2026).

Does Copilot keep a record of what is said in a meeting?

It can. With Only during the meeting, the speech-to-text isn't saved, but retention policies may still keep Copilot's prompts and answers, and eDiscovery can find them (Microsoft Learn, August 2026). Recordings are deleted after 120 days by default, which is not a compliance control (Microsoft Learn, updated August 2026).

Who can see what Copilot produces in a board meeting?

Your own Copilot prompts and answers in a Teams meeting are private to you, but Facilitator's shared notes are visible to every internal attendee and don't inherit the meeting's sensitivity label (Microsoft Learn, August 2026). A Confidential Recipients Only label blocks sharing the AI recap (Microsoft Support, September 2026).

What should directors ask management about Copilot and AI?

Ask eight things: who owns Copilot and can stop it, which data it can reach, who holds paid licenses and whether leaders and AI champions use it, who can build agents, which meetings have it off, what is kept and for how long, what management reports, and who is told if something goes wrong.

Leaders first

Train your leadership team on Copilot.

Leaders ask better questions once they've used Copilot. Leave your details and I'll tell you what fits: Copilot training for executives, an executive Copilot briefing or a Copilot talk for a leadership group.
